1. General

  • These terms apply to all transactions between HappyLife Wholesale Ltd (“we”, “us”, “our”) and the customer (“you”, “your”).
  • We reserve the right to update these terms at any time. The most recent version will always be available on our website.

2. Eligibility

  • You must be a registered business, sole trader, or authorised buyer representing a business entity to place wholesale orders.
  • Proof of business identity (e.g. company registration or VAT number) may be required for trade account approval.

3. Orders & Prices

  • All orders are subject to product availability and confirmation of price and delivery terms.
  • Prices are quoted in GBP (£) and exclude VAT unless otherwise stated.
  • A minimum order value or quantity may apply, depending on product type or order destination.
  • Once an order is confirmed and a proforma invoice is issued, prices are fixed unless agreed otherwise in writing.

4. Payment Terms

  • Orders must be paid in full via bank transfer prior to dispatch, unless credit terms have been pre-approved.
  • Late payments may result in delayed delivery or suspension of further orders.
  • We reserve the right to charge interest or fees on overdue accounts in accordance with the Late Payment of Commercial Debts Act 1998.

5. Delivery

  • We deliver across the UK and selected EU countries. Delivery times vary depending on location and product availability.
  • Delivery estimates are provided in good faith but are not guaranteed.
  • Risk in the goods passes to you upon delivery or collection.
  • Any discrepancies, damages, or shortages must be reported within 24 hours of receiving the goods, with photographic evidence where applicable.

6. Returns & Refunds

  • Due to the nature of food and beverage products, we do not accept returns unless the goods are faulty, damaged, or supplied in error.
  • Claims must be made within 24–48 hours of delivery.
  • Approved refunds will be processed within 7 working days to the original payment method.

7. Product Information

  • All products are sourced from reputable UK and European suppliers.
  • We make every effort to ensure product information (e.g. BBE dates, origin, and ingredients) is accurate, but final responsibility lies with the buyer to check packaging upon receipt.

8. Trade Accounts

  • We may offer trade accounts to regular buyers, subject to approval.
  • We reserve the right to suspend or terminate trade accounts at our discretion.
  • Misuse of trade terms or failure to meet payment deadlines may result in account suspension.

9. Limitation of Liability

  • We shall not be liable for indirect, incidental, or consequential losses arising from delayed deliveries, product faults, or interruptions in supply.
  • Our total liability shall be limited to the value of the goods purchased.

10. Governing Law

  • These terms are governed by and construed in accordance with the laws of England and Wales.
  • Any disputes will be subject to the exclusive jurisdiction of the English courts.
